Terms & Conditions

Unless stated otherwise, in writing, here are our Terms of Service:

Proposals and Budgets
Most projects will be submitted with a scope of work and budget.  Budgets are based on experience with other clients on similar projects. Client will designate who may sign approvals and authorizations.

Changes to the Scope of Work
Revisions or author’s alterations to the Scope of Work may obligate the Client to additional fees and costs at our standard rates. These may include changes made after approvals, or repeated revisions beyond standard practices.  If over $500, client will be advised via email.

Proofing
Please note that the Client is ultimately responsible for any typographical, spelling, grammatical, copy, photographic, illustrative, layout or other errors discovered after printing or reproduction. Client will be given multiple proofs prior to printing for sign off and approvals. If any work or services are performed by a third party selected by the Client, The Walsh Group will not be held responsible for the quality or accuracy of their work.

Ownership and Usage Rights
The rights to be granted by The Walsh Group under this Agreement will be transferred to Client once full payment for services is made by Client to The Walsh Group.

The Walsh Group reserves the right to reproduce any and all designs created by The Walsh Group in print and electronic media for The Walsh Group’s promotional purposes for an unlimited period of time.

Note on Trademarks:  In developing any brand marks, The Walsh Group’s efforts shall not include a complete trademark clearance search. Client is advised to engage the services of a legal firm.

Independent Contractor
In performing their respective obligations under this Agreement, the parties agree that their relationship is that of independent contractors and not that of a partners, joint venturers, agents, employees or part-time employees of the other party. Neither party will represent itself as, act or purport to act as or be deemed to be the agent, representative, employee of the other party.

Indemnification
It is mutually agreed, that the client will indemnify The Walsh Group, Inc. against any loss it may incur as a result of any claims, proceedings or suits made or brought against it.

The Walsh Group is indemnified against the Failure of any third party vendor.

General Billing

The Walsh Group, Inc. terms are net thirty (30) days from receipt of invoice.  Interest of 1.5% per month applied on accounts over 45 days.

In the event of default in payment, Client shall pay The Walsh Group, Inc. all cost and expenses, including attorney’s fees, the fees of collection agencies and other expenses incurred in enforcing any of the terms or conditions thereof.

Archiving
As a courtesy to our client the Walsh group will make every effort to archive electronic files for one year after a project is completed, (excluding websites). We have no legal obligation to do so.  IF there are digital files that are important to you, it is your responsibility to request them.  IF we are no longer working with you, we will provide an estimate to do so.
